End User License Agreement

This End User License Agreement ("Agreement") governs your use of Forge Proposal (the "App"), operated by Forge Direct LLC ("Forge Direct," "we," "us"). By signing in to or using the App, you agree to this Agreement.

1. Purpose of the App

The App helps Forge Direct's team prepare roofing inspections, proposals and contracts, guide insurance and retail jobs from first meeting to production, and keep job records in sync with connected business systems such as JobNimbus and QuickBooks Online. Homeowners may view proposals, sign agreements and see job progress through share links sent to them.

2. License

Subject to this Agreement, Forge Direct grants authorized users a limited, non-exclusive, non-transferable, revocable license to use the App solely for Forge Direct business. Authorized users are Forge Direct owners, employees, contractors and partners who have been given an account, and homeowners using a link sent to them for their own job.

3. Accounts

• You are responsible for keeping your sign-in credentials confidential and for activity under your account.
• Notify Forge Direct promptly if you believe your account has been used without permission.
• Access levels (owner, project manager, rep, office, supplement partner) are assigned by Forge Direct, and features and data you can see depend on your role.

4. Acceptable use

You agree not to:

• use the App for any purpose other than legitimate Forge Direct work, or for anything unlawful;
• upload false, misleading or unrelated photos, documents or information, or try to bypass the App's required steps, photo checks or approvals;
• access data, jobs or features you are not authorized to use, or share homeowner information outside of job needs;
• copy, reverse engineer, resell or interfere with the App or its connected services.

5. Ownership

The App, its design and software are owned by Forge Direct or its licensors. Job, customer and business records entered into the App belong to Forge Direct, subject to the rights of the people that information is about, as described in our Privacy Policy.

6. QuickBooks Online integration

The App connects to Forge Direct's QuickBooks Online company only after a Forge Direct owner authorizes the connection through Intuit's sign-in (OAuth). Once authorized, the App may create and update homeowner customer records, job sub-customers identified by the JobNimbus job number, and master invoices with roofing scope and upgrade line items; send QuickBooks-hosted invoice payment links to homeowners; and record ACH and check payments against the master invoice. Payments made through those links are processed by Intuit/QuickBooks Payments under Intuit's own terms. The authorizing owner may revoke this connection at any time.

7. Third-party services

The App works with third-party services, including QuickBooks Online (Intuit), JobNimbus, RepCard, EagleView, Google, AI providers used to read documents and check photos, email delivery and hosting providers. Your use of those services is subject to their terms. Forge Direct is not responsible for the availability or actions of third-party services.

8. Not a replacement for your roofing contract

Using the App does not replace, change or add to the homeowner's signed roofing contract, contingency agreement or any other signed agreement. Those documents control the work, price and obligations. Proposals, estimates, progress updates and AI-assisted content in the App are tools to support that relationship. Forge Direct is not a public adjuster and does not negotiate insurance claims.

9. Availability and changes

We aim to keep the App available but do not guarantee it will be uninterrupted or error-free. We may update, change or discontinue features at any time.

10. Termination

Forge Direct may suspend or end your access at any time, including if you violate this Agreement or your relationship with Forge Direct ends. Sections 5, 8, 11 and 12 survive termination.

11. Disclaimer of warranties

To the fullest extent permitted by law, the App is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. AI-generated readings, drafts and photo checks may contain errors and must be reviewed by a person.

12. Limitation of liability

To the fullest extent permitted by law, Forge Direct will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits or data, arising from your use of the App. Nothing in this Agreement limits liability that cannot be limited under applicable law or any obligation in a signed roofing contract.

13. Governing law

This Agreement is governed by the laws of the State of Utah, without regard to its conflict-of-law rules.

14. Changes to this Agreement

We may update this Agreement. The "Last updated" date above shows when it last changed. Continued use after changes means you accept the updated Agreement.
